By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or engage our services.
Architectural Intelligence provides AI consulting, custom AI systems development, workflow automation, dashboard development, and related technology implementation services for businesses. The specific scope, deliverables, timeline, fees, and payment terms of any engagement are defined in a separate statement of work ("SOW") or service agreement mutually agreed upon by Architectural Intelligence and the client. These Terms apply in addition to any SOW or service agreement; in the event of a conflict, the SOW or service agreement shall control with respect to the specific engagement it covers.
AI consulting and technology implementation involve inherent uncertainty. While we apply professional skill and diligence to every engagement, we do not guarantee specific results, performance improvements, cost savings, revenue increases, or any particular business outcome. Past results, case studies, testimonials, or projections discussed on our website or during consultations are illustrative only and do not constitute a promise or guarantee of future results. The success of any AI implementation depends on numerous factors outside our control, including but not limited to the quality and availability of client data, organizational readiness, user adoption, market conditions, and third-party dependencies.

For client engagements, intellectual property ownership of custom deliverables is governed by the terms of the applicable SOW or service agreement. Unless otherwise specified in writing, Architectural Intelligence retains ownership of all pre-existing tools, frameworks, methodologies, libraries, and reusable components used in or developed during an engagement.
When you submit an inquiry through our contact form, you consent to us using the information you provide to respond to your inquiry, evaluate fit, and discuss potential services. Submitting a form does not create a binding agreement, a client relationship, or any obligation on either party. No confidential relationship is established by a form submission alone.
We treat all non-public client information shared during consultations and engagements as confidential. We will not disclose your confidential business information to third parties without your consent, except: (a) as required by law, regulation, or legal process; (b) as necessary to deliver our services using vetted subcontractors or tools, who are bound by equivalent confidentiality obligations; or (c) with respect to information that becomes publicly available through no fault of ours. Specific confidentiality terms for an engagement may be set forth in the applicable SOW or a separate non-disclosure agreement.
OUR WEBSITE AND ALL CONTENT, INFORMATION, AND MATERIALS ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. With respect to consulting services, we warrant only that services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. This is the sole warranty applicable to our services, and it replaces all other warranties, express or implied.
TO THE FULLEST EXTENT PERMITTED BY LAW, ARCHITECTURAL INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATED TO YOUR USE OF OUR WEBSITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the extent permitted by law, our total aggregate liability arising from or related to these Terms, our website, or any services shall not exceed the greater of (a) the total fees actually paid by you to Architectural Intelligence for the specific engagement giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability, or (b) five hundred dollars ($500).
You agree to indemnify, defend, and hold harmless Architectural Intelligence and its members, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Terms; (b) your misuse of the website; (c) your violation of any applicable law or regulation; or (d) any content or information you provide to us through the website or during an engagement that infringes the rights of any third party.
Informal resolution: Before initiating any formal dispute proceeding, you agree to first contact us at hello@archin.tel and attempt to resolve the dispute informally for at least thirty (30) days.
Binding arbitration: If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered under the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted by a single arbitrator in the Commonwealth of Pennsylvania, or remotely by mutual agreement. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
Architectural Intelligence shall not be liable for any delay or failure to perform its obligations under these Terms or any service agreement to the extent such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet or infrastructure outages, cyberattacks, labor disputes, or failures of third-party service providers.
During the term of any engagement and for twelve (12) months following its completion, neither party shall directly solicit for employment or engagement any employee, contractor, or agent of the other party who was involved in the engagement, without the other party's prior written consent. This restriction does not apply to general public job postings or to individuals who independently approach a party without solicitation.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions in Section 10, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and you consent to personal jurisdiction and venue in such courts.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Material changes will be reflected by updating the "Last updated" date. Your continued use of the website after any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the website.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any applicable SOW or service agreement, constitute the entire agreement between you and Architectural Intelligence regarding the use of our website. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, with respect to the subject matter hereof.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of assets.
The failure of Architectural Intelligence to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Architectural Intelligence to be effective.
